Thinkputer Terms, Conditions and Policies

These Terms, Conditions and Policies ("Terms") govern the use of the Thinkputer website, the purchase and use of Thinkputer products and services, and any related installation, configuration, consulting, support, maintenance or other services provided by Thinkputer.
By accessing this website, purchasing a Thinkputer product, accepting a quotation, invoice or order, receiving delivery, using a Thinkputer system, or requesting services from Thinkputer, you agree to be bound by these Terms.
If you purchase or use Thinkputer on behalf of a company, organization, school, professional practice or other entity, you represent that you have authority to accept these Terms on behalf of that entity.
1. Thinkputer
"Thinkputer", "we", "us" and "our" refer to the business operating the Thinkputer brand and providing the applicable product or service.

2. Nature of Thinkputer Products
Thinkputer products are computer systems configured to provide local computing, artificial intelligence, automation, document processing, databases, networking and related business functions.
A Thinkputer system may include hardware, operating systems, drivers, open-source software, proprietary third-party software, AI models, containers, databases, automation tools, networking components and integrations provided by multiple independent manufacturers, developers, licensors and service providers.
Thinkputer does not manufacture every hardware component and does not write, own or control every software package, operating system, driver, AI model, library, application or third-party service included with or connected to a Thinkputer system.
3. Third-Party Hardware
Computer components used in Thinkputer systems may be manufactured by independent companies, including manufacturers of:
- Processors
- Graphics cards and GPUs
- Motherboards
- Memory
- Storage devices
- Power supplies
- Cooling systems
- Cases
- Network adapters
- Accessories
- Other components
Manufacturer warranties, where available, are provided by the applicable manufacturer and are subject to that manufacturer's own terms, conditions, exclusions, procedures and warranty periods.
Thinkputer does not control a manufacturer's warranty decision, warranty duration, replacement policy, repair procedure, parts availability or discontinuation policy.
To the fullest extent permitted by applicable law, Thinkputer is not responsible for a manufacturer's refusal, delay, limitation or denial of a manufacturer warranty claim.
4. Third-Party Software
Software included with or installed on Thinkputer may be developed, owned, licensed or maintained by independent software developers, open-source communities or third-party companies.
Each software product remains subject to its applicable:
- License
- Terms of use
- Privacy policy
- Support policy
- Update policy
- Security policy
- Compatibility requirements
- End-of-life policy
Thinkputer does not control the continued development, availability, licensing, functionality, security, compatibility or maintenance of third-party software.
5. Software Is Provided Subject to Its Authors and Vendors
Third-party software may be changed, updated, discontinued, renamed, restricted, relicensed, made incompatible, converted from free to paid, or otherwise modified by its developer or owner at any time.
Such decisions are outside Thinkputer's control.
To the fullest extent permitted by law, Thinkputer is not responsible for:
- Software being discontinued
- Software no longer being supported
- Changes to software licensing
- Changes to software pricing
- Features being added or removed
- Software becoming incompatible with other components
- API changes
- Authentication changes
- Third-party service outages
- Third-party security vulnerabilities
- Changes to AI models
- Changes to hardware requirements
- Changes made by software developers or publishers
6. Updates
Software, operating systems, drivers, firmware, containers and AI models may receive updates from their respective developers, maintainers or manufacturers.
Thinkputer does not guarantee that any future update will:
- Install successfully
- Remain compatible with existing software
- Remain compatible with existing hardware
- Preserve every existing feature
- Preserve configuration settings
- Improve performance
- Resolve existing problems
- Avoid introducing new problems
Updates may change functionality, dependencies, security requirements, system resources or compatibility.
7. Customer Responsibility Before Updating
Customers are responsible for maintaining a current and verified backup before performing or authorizing:
- Operating system updates
- Software updates
- Container updates
- Driver updates
- Firmware updates
- AI model updates
- Database upgrades
- Configuration changes
- Hardware changes
Thinkputer strongly recommends testing significant updates before applying them to important production systems.
8. Hardware Upgrades and Modifications
Thinkputer systems may be upgradeable; however, the ability to upgrade does not mean that every future component will be compatible.
Before changing hardware, the customer is responsible for confirming compatibility with all affected components, including:
- Motherboard
- CPU
- BIOS or firmware
- Memory
- GPU
- Power supply
- Cooling
- Storage
- PCIe connectivity
- Physical dimensions
- Case airflow
- Network interfaces
- Operating system
- Drivers
- Applications
9. Customer Modifications
Unless specifically agreed otherwise in writing, Thinkputer is not responsible for problems resulting from modifications made after delivery by the customer or another third party.
This includes:
- Adding hardware
- Removing hardware
- Replacing hardware
- Overclocking
- Changing BIOS settings
- Changing network configuration
- Installing software
- Removing software
- Updating software
- Changing operating systems
- Changing drivers
- Changing containers
- Changing databases
- Changing permissions
- Changing security settings
- Changing firewall settings
- Changing passwords or credentials
- Deleting files or configuration
- Changing AI models
- Connecting third-party applications or APIs
10. Deleting or Removing Software
Removing software, libraries, packages, containers, databases, models, drivers or configuration files can affect other parts of the system.
Thinkputer is not responsible for failures caused by customer-directed or third-party deletion, removal or modification of components unless Thinkputer expressly performed the work and the failure resulted directly from that work.
11. Third-Party Integrations
Thinkputer systems may connect with external services, applications, APIs, websites, email providers, cloud services, AI providers or other systems.
Thinkputer does not control these external services and does not guarantee:
- Availability
- Compatibility
- Pricing
- API continuity
- Authentication methods
- Performance
- Security
- Data retention
- Features
- Service continuity
12. Internet and External Services
Supported local Thinkputer functions may operate without internet access. Functions that depend on internet services, external APIs, cloud platforms, websites, remote email systems or other third-party services require those services to remain available.
Thinkputer is not responsible for outages or limitations caused by an internet service provider or third-party service.
13. AI Models and AI Output
Artificial intelligence systems are probabilistic technologies and may generate incorrect, incomplete, outdated, inconsistent or unexpected results.
AI-generated output must not automatically be assumed to be correct.
Customers are responsible for reviewing AI output before relying upon it for important decisions.
14. No Professional Advice
Thinkputer and AI-generated content are not substitutes for qualified professional advice.
Unless separately agreed in writing, Thinkputer does not provide:
- Legal advice
- Medical advice
- Accounting advice
- Tax advice
- Financial advice
- Engineering certification
- Regulatory certification
- Compliance certification
Customers remain responsible for obtaining appropriate professional review where required.
15. Customer Responsibility for AI Use
The customer is solely responsible for determining whether a particular use of AI is appropriate for its organization.
The customer is responsible for:
- Reviewing AI results
- Human oversight where appropriate
- Determining permitted uses
- Protecting confidential information
- Managing user permissions
- Maintaining lawful data practices
- Complying with industry requirements
- Obtaining necessary approvals and consents
16. Customer Data
Customers are responsible for their own data, including its accuracy, legality, retention, backup, access control and use.
Thinkputer does not assume ownership of customer data merely because the data is stored or processed on a Thinkputer system.
17. Backup Responsibility
Unless a written service agreement expressly states otherwise, the customer is responsible for maintaining adequate backups of all important information.
A backup should not be considered reliable until it has been successfully tested or verified.
Customers should maintain backups separate from the primary Thinkputer system.
18. Data Loss
To the fullest extent permitted by law, Thinkputer is not responsible for data loss arising from:
- Hardware failure
- Storage device failure
- Customer error
- Software error
- Malware
- Cyberattack
- Power failure
- File corruption
- Failed updates
- Third-party applications
- Deleted files
- Improper shutdown
- Insufficient backup practices
- Customer or third-party modifications
19. Security
Thinkputer may configure security features appropriate to the product or service purchased, but no computer, network, server, software or security system can be guaranteed to be completely secure.
Threats, vulnerabilities and attack techniques change over time.
Customers remain responsible for maintaining appropriate operational security after delivery, including:
- Strong passwords
- Access controls
- Updates
- Backups
- Network security
- Physical security
- User management
- Monitoring
20. Privacy and Regulatory Compliance
Thinkputer products may assist organizations in keeping supported AI workloads and information local, but purchase or use of Thinkputer does not itself guarantee compliance with any specific law, regulation, standard or professional requirement.
The customer is responsible for determining and maintaining compliance applicable to its organization and use of the system.
21. Product Specifications
Product specifications displayed on our website, quotations or marketing material reflect the intended configuration at the applicable time.
Components may be substituted where necessary due to availability, discontinuation or supply conditions, provided that any substitution is reasonably equivalent or better in relevant function or performance, unless otherwise agreed.
Material substitutions should be disclosed to the customer where reasonably practicable before delivery.
22. Performance
Actual AI and computer performance varies according to:
- AI model
- Model size
- Prompt
- Context length
- GPU
- CPU
- Memory
- Storage
- Software configuration
- Number of users
- Concurrent workloads
- Network conditions
- External services
Benchmarks and performance examples are illustrative of the specific tested workload and configuration and are not guarantees that every workload will achieve the same result.
23. Availability
Thinkputer does not guarantee uninterrupted or error-free operation.
Service interruption may result from:
- Hardware failure
- Software failure
- Maintenance
- Updates
- Power interruption
- Network interruption
- Third-party services
- Security incidents
- Events outside reasonable control
24. Hardware Warranty
Hardware warranty coverage is primarily determined by the warranty offered by the applicable hardware manufacturer.
Thinkputer may assist customers with diagnosis or manufacturer warranty procedures where included in the applicable purchase or support agreement.
Manufacturer warranty decisions remain the responsibility of the applicable manufacturer.
25. Thinkputer Workmanship
Any separate Thinkputer workmanship, assembly, configuration or service warranty applies only if specifically stated in the customer's quotation, invoice, purchase agreement or written warranty document.
Such coverage does not convert third-party hardware or third-party software into products manufactured or authored by Thinkputer.
26. Software Warranty
Third-party software is governed by the warranty, if any, supplied by its developer, publisher or licensor.
Many open-source and third-party software licenses provide software on an "as is" basis and disclaim warranties.
Thinkputer does not provide an independent warranty for third-party software except where Thinkputer has expressly agreed in writing to correct a specific installation or configuration error caused directly by Thinkputer.
27. Installation and Configuration Errors
If Thinkputer confirms that software was incorrectly installed or configured by Thinkputer, and the issue is reported within any applicable Thinkputer service period, Thinkputer's obligation will normally be limited to commercially reasonable efforts to correct or reinstall the affected configuration.
This does not include changes subsequently caused by the customer, another service provider, software updates, hardware changes or third-party software.
28. No Guarantee of Future Compatibility
Thinkputer does not guarantee that a system purchased today will remain compatible with every future:
- Operating system
- AI model
- GPU
- CPU
- Software version
- Container
- Driver
- API
- Application
- Protocol
- Hardware device
29. End-of-Life and Discontinued Products
Hardware manufacturers and software developers may discontinue products, updates or support.
Thinkputer is not responsible for a third party's decision to discontinue a component, software product, model, API, service or support program.
30. Customer Accounts and Passwords
After credentials are delivered or transferred to the customer, the customer is responsible for:
- Changing passwords where appropriate
- Protecting credentials
- Determining authorized users
- Removing former users
- Maintaining appropriate permissions
- Protecting administrative accounts
31. Remote Support
Where remote access is requested by the customer, the customer authorizes Thinkputer to access the applicable system solely for the requested support purpose.
Customers should maintain current backups before significant remote maintenance or configuration work.
32. Support Services
Support is provided only to the extent stated in the customer's applicable purchase, support plan, quotation, invoice or separate service agreement.
Purchase of hardware does not create an unlimited or perpetual entitlement to:
- Technical support
- Software upgrades
- Configuration changes
- Remote administration
- Training
- Workflow development
- Custom programming
- Data recovery
- Migration services
33. Additional Work
Work outside the originally purchased scope may be subject to additional charges.
Examples include:
- New software installation
- New integrations
- Hardware upgrades
- Custom workflows
- Data migration
- Reconfiguration
- Recovery from customer changes
- Recovery from third-party changes
- On-site service
34. Quotations and Orders
Unless otherwise stated, quotations are valid only for the period specified in the quotation.
Prices, inventory and component availability may change before an order is accepted.
An order becomes binding when accepted by Thinkputer and any required payment or deposit has been received.
35. Payment
Customers must pay all amounts according to the applicable invoice, quotation or purchase agreement.
Thinkputer may suspend delivery, implementation, support or additional work where amounts are overdue, subject to applicable law.
36. Taxes
Applicable taxes, duties, shipping, customs, brokerage or similar charges are additional unless expressly included.
37. Deposits and Custom Orders
Custom-built systems, specially ordered components, customized software and implementation work may require a deposit.
Deposits and cancellation terms will be governed by the applicable quotation or purchase agreement and applicable law.
38. Returns
Return rights, if any, are subject to the specific return policy provided with the applicable transaction and any rights that cannot be excluded under applicable law.
Custom-configured, special-order or opened products may be subject to restrictions where legally permitted.
39. Inspection Upon Delivery
Customers should inspect products promptly upon receipt and notify Thinkputer of visible shipping damage, missing components or incorrect items as soon as reasonably possible.
40. Shipping Risk
Shipping, loss and damage responsibilities will be determined by the applicable order terms, carrier rules and applicable law.
41. Acceptable Use
Thinkputer products must not be knowingly used in violation of applicable law.
Customers are responsible for the lawful operation and use of their Thinkputer systems.
42. Intellectual Property
Thinkputer retains ownership of its trademarks, branding, documentation, original software, original configuration materials and other intellectual property unless expressly transferred in writing.
Third-party software, models and content remain owned or licensed by their respective owners.
43. Open-Source Software
Certain software included with Thinkputer may be open-source software.
Open-source components remain subject to their respective licenses, and nothing in these Terms changes rights or obligations granted by those licenses.
44. Customer-Created Workflows and Content
Customers remain responsible for workflows, prompts, configurations, databases, documents and other content they create or instruct others to create.
45. No Responsibility for Unauthorized Changes
Thinkputer is not responsible for damage or failure caused by unauthorized third-party access, unauthorized repair, unauthorized configuration or modification not performed or approved by Thinkputer.
46. Assumption of Technology Risks
The customer acknowledges that computer systems and AI technologies involve inherent risks, including:
- Hardware failure
- Software defects
- Compatibility problems
- Security vulnerabilities
- Data corruption
- Downtime
- Incorrect AI output
- Third-party service changes
- Technology becoming obsolete
47. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY THINKPUTER IN WRITING, THINKPUTER PRODUCTS AND SERVICES ARE PROVIDED WITHOUT ANY ADDITIONAL REPRESENTATION, WARRANTY OR CONDITION, EXPRESS OR IMPLIED.
NOTHING IN THESE TERMS EXCLUDES, RESTRICTS OR MODIFIES A RIGHT, CONDITION, WARRANTY OR REMEDY THAT APPLICABLE LAW DOES NOT PERMIT THE PARTIES TO EXCLUDE, RESTRICT OR MODIFY.
48. No Guarantee of Particular Business Result
Thinkputer does not guarantee that use of a Thinkputer system will result in any particular:
- Revenue
- Savings
- Profit
- Productivity level
- Employee reduction
- Business outcome
- Compliance status
- Competitive advantage
49. Exclusion of Indirect and Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THINKPUTER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO A PRODUCT OR SERVICE.
THIS INCLUDES, TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMS FOR:
- Lost profits
- Lost revenue
- Lost business
- Lost opportunities
- Loss of goodwill
- Business interruption
- Loss or corruption of data
- Cost of substitute services
- Loss caused by AI output
- Loss caused by third-party services
50. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THINKPUTER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT, ORDER, SERVICE OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO THINKPUTER BY THE CUSTOMER FOR THE SPECIFIC THINKPUTER PRODUCT OR SERVICE THAT DIRECTLY GAVE RISE TO THE CLAIM.
Where a claim relates solely to a separately purchased service, the maximum aggregate liability will not exceed the amount actually paid to Thinkputer for that specific affected service.
The limitations in this section apply collectively to all claims arising from the same product, service, transaction, event or series of related events, regardless of the legal theory asserted, including contract, negligence, tort, misrepresentation or otherwise, to the fullest extent permitted by law.
THIS LIMITATION DOES NOT APPLY TO THE EXTENT THAT APPLICABLE LAW PROHIBITS SUCH A LIMITATION.
51. Consumer Statutory Rights
Nothing in these Terms is intended to waive, limit or exclude rights or remedies that cannot legally be waived, limited or excluded.
Where consumer protection legislation applies, mandatory consumer rights take priority over any inconsistent provision of these Terms.
52. Business-to-Business Transactions
Where the purchaser is acquiring Thinkputer primarily for business or commercial purposes, the parties agree that the limitations, allocations of risk and disclaimers contained in these Terms are material terms of the transaction, to the fullest extent permitted by applicable law.
53. Indemnification
To the fullest extent permitted by law, the customer agrees to indemnify and hold Thinkputer harmless from third-party claims, losses, liabilities, damages and reasonable costs arising from:
- The customer's unlawful use of the system
- Customer-provided data or content
- Customer-created workflows
- Unauthorized modifications
- Customer violation of third-party licenses
- Customer violation of applicable law
- Use of AI output without appropriate review
- Actions performed by users authorized by the customer
This indemnification does not apply to the extent a claim is directly caused by conduct for which liability cannot lawfully be excluded.
54. Third-Party Claims
Thinkputer is not responsible for disputes between a customer and a third-party software developer, hardware manufacturer, cloud provider, API provider, carrier, internet provider or other independent third party, except to the extent required by applicable law.
55. Force Majeure
To the fullest extent permitted by law, Thinkputer will not be liable for delay or failure caused by circumstances beyond its reasonable control, including:
- Natural disasters
- Fire
- Flood
- Severe weather
- War
- Terrorism
- Civil disturbance
- Government action
- Labour disruption
- Supply-chain interruption
- Component shortages
- Utility failure
- Internet failure
- Carrier delays
- Cyberattack
- Third-party service outage
56. Changes in Law or Technology
Thinkputer is not responsible for changes in legislation, regulation, technology standards or third-party requirements that occur after a product or service is provided.
57. Documentation
Documentation is provided for general operational assistance and may not address every possible configuration, condition or use.
Customers should seek qualified assistance before making major system changes if they are uncertain about the consequences.
58. Website Information
Thinkputer attempts to keep website information accurate, but specifications, pricing, availability, descriptions and other information may change.
A typographical, technical or administrative error does not create an obligation to provide a product or service on obviously incorrect terms, subject to applicable consumer law.
59. Website Availability
Thinkputer does not guarantee uninterrupted availability of its website.
60. External Links
Links to third-party websites are provided for convenience. Thinkputer is not responsible for the content, availability, security, terms or privacy practices of independent third-party websites.
61. Relationship of the Parties
Nothing in these Terms creates a partnership, employment relationship, agency, fiduciary relationship or joint venture between Thinkputer and the customer.
62. Assignment
The customer may not assign contractual rights or obligations relating to customized services without Thinkputer's consent where such consent is legally permitted to be required.
63. Waiver
Failure by Thinkputer to enforce a provision on one occasion does not constitute a permanent waiver of that provision.
64. Severability
If any provision of these Terms is found invalid, illegal or unenforceable, that provision will be interpreted or severed to the minimum extent necessary, and the remaining provisions will continue in effect to the fullest extent permitted by law.
65. Entire Agreement
These Terms, together with the applicable quotation, invoice, order, warranty statement, support agreement and any expressly incorporated written document, constitute the agreement between Thinkputer and the customer concerning the applicable transaction.
Where a specifically negotiated written agreement signed by Thinkputer conflicts with these website Terms, the specifically negotiated agreement will govern to the extent of the conflict.
66. No Reliance on Oral Statements
To the fullest extent permitted by law, customers should not rely upon oral representations that are inconsistent with the written quotation, product specification or agreement.
Any material custom commitment should be included in writing.
67. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise.
68. Jurisdiction
Subject to mandatory rights provided by applicable law, disputes concerning these Terms or Thinkputer products and services will be submitted to courts of competent jurisdiction in Ontario, Canada.
69. Informal Dispute Resolution
Before commencing formal proceedings, the parties are encouraged, where practical, to provide written notice of the dispute and make reasonable efforts to resolve it directly.
Nothing in this section removes any right that applicable law does not permit the parties to restrict.
70. Time to Notify Thinkputer of a Problem
Customers should notify Thinkputer of a suspected defect, installation problem or service issue promptly after discovering it so that the issue can be investigated and potential additional damage can be minimized.
71. Duty to Minimize Loss
To the extent recognized by applicable law, a party claiming loss is expected to take reasonable steps to prevent avoidable additional loss.
72. Changes to These Terms
Thinkputer may update these website Terms from time to time.
Changes will apply prospectively from their stated effective date unless applicable law or a separate agreement provides otherwise.
Terms governing a completed purchase will be determined according to the agreement applicable when that transaction was entered into, except where the parties subsequently agree otherwise.
73. Headings
Section headings are provided for convenience and do not alter the interpretation of these Terms.
74. Interpretation
Words such as "including" and "includes" mean "including without limitation" unless the context clearly requires otherwise.
75. Acceptance
By purchasing, receiving or using a Thinkputer product or service, the customer confirms that they have had an opportunity to review these Terms and agree to them to the extent permitted by applicable law.
